The CORPORATE law area focuses on providing comprehensive legal support to various companies and non-profit entities from multiple economic fields, with the purpose of protecting their compliance with their bylaws and regulations, as well as their compliance with the corporate governance.

Among others, we offer the following services to our clients:

1. Advice on the creation, incorporation, amendment, reorganization, winding-up and liquidation of companies and non-profit entities, as well as the drafting of bylaws and regulations with special characteristics, Joint Ventures, operating agreements, Corporate Governance policies and agreements of shareholders, members, founders, co-owners, among others.

2. Advice on the definition of commercial establishments, as well as the incorporation of branches and affiliates belonging to national and foreign companies, and support throughout the adaptation stage.

3. Support in any capitalization and capital reduction processes of companies, as well as legal assistance throughout the process before the authorities to obtain their respective authorizations (as applicable).

4. Advice and support in the process of dissolution and voluntary liquidation of companies, non-profit entities or foreign companies’ branches.

5. Custody and updating of the register books of shareholders, partners, members or co-owners (as applicable) and the minute books of companies or non-profit entities. This service includes keeping clients informed of the corporate obligations that apply to them, as well as the preparation of minutes of their governing bodies.

6. Advice on foreign exchange matters when shareholders, partners, members (as applicable) invest funds from abroad, or when a Colombian entity requires making investments or remittances abroad, as well as compliance with formal obligations before the Colombian Central Bank (Banco de la República).  

7. In general, our strength consists in providing day-to-day advice on specific issues arising upon the framework of companies’ or non-profit entities’ activities related with their corporate operation. This ensures our clients’ full compliance with the obligations imposed by the Colombian laws.
